Benjamin J. Klassen is an associate in the Corporate & Transactions practice group at Winthrop & Weinstine. Ben works with clients on mergers & acquisitions, business formation and start-up financing, sales and employment contracts, and other general corporate issues. He focuses on the financing needs of businesses at various stages of growth, from seed financing to growth by acquisition.
In the regulatory context, Ben provides solutions for issues related to anti-trust, FDA compliance, licensing and distribution for breweries and other alcoholic beverage manufacturers, and other administrative concerns on the state and federal level.
Ben also works with Public Benefit Corporations and non-profit corporations, ensuring compliance with state law and navigating IRS requirements for tax exemptions.
Ben earned his M.B.A from the Carlson School of Management and J.D. from the Law School at the University of Minnesota, focusing course work on financing and taxation issues for growing businesses. While in graduate school, he worked as a law clerk in the corporate group at Winthrop & Weinstine for two years, participated in national competitions for brand management and environmental law, and researched capital structures for agricultural cooperatives as a graduate assistant at the School of Agriculture.
