Experience
Ed counsels clients on issues of capitalization, governance, raising funds, structured buy-sell arrangements, ownership transition matters and complex contracts negotiations. Ed’s clients include community banks, bank holding companies, financial services companies and private equity funds, as well as entrepreneurs and owners of emerging growth companies.
Bringing several years of business experience to his practice, Ed is focused on helping his clients grow their businesses. Ed’s experience as an operations manager in start-up and mid-sized organizations allows him to provide his clients with practical business advice as well as legal expertise.
Ed served in the United States Army Reserve and was awarded the Army Achievement Medal, Army Accommodation Medal and was selected as the 1991 Soldier of the Year for the Fourth United States Army. Before practicing with the firm, Ed clerked for the Honorable Donald P. Lay, United States Court of Appeals, 8th Circuit. Ed lives in south Minneapolis with his wife and four children and enjoys sailing on Lake Calhoun.

- Representation of the bank holding company of a de novo bank in a $12.6 million private placement
- Representation of a private financial services company in a $14 million recapitalization
- Representation of a private a private equity fund in its organization and $3.5 million private placement
- Representation of the owners of a local building products manufacturing company in a $5 million sale of the business
- Representation of a regional supplier of natural gas in a $2.8 private placement
