I grew up around small businesses in my family, and understand the care and hard work that goes into starting, owning, and operating a business. I apply that to my work with my clients as I advise them on corporate matters such as drafting agreements and conducting due diligence related to mergers and acquisitions. Having seen both the legal and the business side, I fully recognize the complex nature of starting a business, and enjoy being an advisor to help ease the process for my clients.
Outside of work, I’m a true Minnesotan – I love being outside by a lake in the sunshine.
Practicing General Corporate
I represent clients in a range of corporate matters, including start-up and entity formation, drafting agreements corporate governance, regulatory compliance, and due diligence in mergers and acquisitions.
Draft membership interest assignment documents, membership purchase interest agreements, written actions approving distribution and membership assignments, contribution agreements, and amendments to the Articles of Incorporation for limited liability companies.
Draft amendments and restatements of governing documents of multi-member limited liability companies to ensure compliance with the Minnesota Revised Uniform Limited Liability Company Act (Chapter 322C of the Minnesota Statutes).
Draft and amend corporate bylaws, member control agreements, and operating agreements for various entities.
Research and draft memoranda regarding 501(c)(3) nonprofit issues, such as private foundation classification, requirements for public charities, and the impact of unrelated business income.
Draft letter to the Internal Revenue Service regarding 501(c)(3) nonprofit reclassification.
Research and draft memoranda regarding effect of various state statutory conversion rules on assignment and change in control limitations in a contract.
Draft written actions and resolutions for governing boards, shareholders, and members of entities.
Draft materials for regular and special meetings of shareholders of a corporation.
Draft blue sky law memoranda with state securities law exemptions.
Conduct due diligence for buyers and sellers by reviewing and summarizing agreements.
Research relevant state regulations, such as licensing requirements, related to mergers and acquisitions.
Complete disclosure schedules for purchase agreements.
Review commercial leases in connection with an acquisition.
Research and advise brewery clients regarding beer distribution, sampling, donation, and advertising regulations in various states.
